1. Scope of Application

These Terms of Service (hereinafter "Terms") govern the use of the software "MoveMRR" as well as all related services, content, and features provided by:

By purchasing, using, or accessing MoveMRR, the user ("Customer", "you") agrees unconditionally to these Terms.

2. Description of Service

MoveMRR is software that helps users migrate data, customers, products, and/or subscriptions between two Stripe accounts.

The software provides technical tools only. The Provider does not owe any specific outcome, but merely the provision of the software in its current state.

In particular, the Provider does not guarantee that:

  • A migration will be completed fully or without errors
  • Specific Stripe configurations are supported
  • Revenue will be preserved
  • Subscriptions will be correctly created, terminated, or synchronized

3. No Warranty / Disclaimer of Liability (Central Point)

The use of MoveMRR is entirely at your own risk.

The Provider assumes no warranty or liability whatsoever, in particular not for:

  • Data loss
  • Incomplete or erroneous migrations
  • Double-charging of end customers
  • Incorrectly created subscriptions
  • Incorrectly cancelled subscriptions
  • Incorrect price, product, or customer assignments
  • Revenue loss, MRR loss, or lost profits
  • Technical errors, bugs, or software malfunctions
  • Incompatibilities with certain or complex Stripe setups
  • Unknown or unusual Stripe configurations
  • User error
  • Actions or omissions by Stripe itself

The Provider assumes absolutely no liability for any damages of any kind, whether direct or indirect, material or immaterial.

This applies even if the Provider was informed of the possibility of such damage.

4. No Guarantee of Stripe Compatibility

Stripe is an external third-party provider.

The Provider expressly does not guarantee that:

  • Every Stripe configuration is supported
  • Future Stripe changes are accounted for
  • All Stripe features are correctly or completely represented

Users may have Stripe setups that are:

  • Extremely complex
  • Unusual
  • Historically evolved
  • Poorly documented
  • Unknown to the Provider

For such cases, there is no entitlement to functionality, adaptation, or support.

5. No Substitute for Testing / Dry-Runs / Own Responsibility

The user is solely responsible for, prior to productive use:

  • Conducting sufficient testing
  • Using dry-runs (if offered)
  • Creating backups
  • Reviewing legal, tax, and technical risks

MoveMRR does not replace:

  • Legal advice
  • Tax advice
  • Technical due diligence
  • Individual review of a SaaS exit

6. Project-Based Purchase / No Transfer

Each purchase of MoveMRR is strictly tied to a single project transfer.

A project transfer is uniquely defined by:

  • Exactly one sender Stripe account
  • Exactly one recipient Stripe account
  • Exactly one project

A purchase does not apply to:

  • Additional projects
  • Additional Stripe accounts
  • Additional recipients or senders
  • Repetitions with different configurations

A separate purchase is required for each additional project or different combination.

7. No Right of Withdrawal / No Refunds

All purchases are final.

There is:

  • No right of withdrawal
  • No entitlement to a refund
  • No entitlement to a partial refund
  • No entitlement in case of non-use
  • No entitlement in case of malfunction
  • No entitlement in case of incompatibility

This applies regardless of whether:

  • The software was used successfully
  • An error occurred
  • The user operated the software incorrectly
  • The desired result was achieved or not

8. Availability

The Provider does not guarantee permanent availability of the software.

Maintenance, changes, restrictions, or shutdowns may occur at any time, including without prior notice.

There is no entitlement to a specific availability or accessibility.

9. Changes to the Software

The Provider reserves the right to modify, expand, restrict, or discontinue MoveMRR in whole or in part at any time.

There is no entitlement to the continuation of specific features.

10. Misuse / Prohibited Use

It is prohibited to use MoveMRR for:

  • Unlawful purposes
  • Circumventing Stripe policies
  • Deceiving end customers
  • Violations of legal obligations
  • Manipulation of billing systems

The Provider reserves the right to block access at any time if misuse is suspected.

11. Limitation of Liability

To the extent permitted by law, the Provider's liability is completely excluded.

Liability is excluded even in cases of gross negligence, to the extent legally permissible.

12. Third-Party Providers

MoveMRR interacts with third-party providers (especially Stripe).

The Provider assumes no responsibility for:

  • Availability
  • Functionality
  • Changes
  • Errors
  • Policies

of these third-party providers.

13. Applicable Law

The law of the Federal Republic of Germany applies exclusively.

The place of jurisdiction is, to the extent legally permissible, the registered office of the Provider.

14. Severability Clause

Should individual provisions of these Terms be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.

15. Final Provision

By purchasing or using MoveMRR, the user expressly confirms that they:

  • Understand the risks
  • Act on their own responsibility
  • Do not expect any guarantee of success
  • Provide maximum protection to the Provider
